TERMS OF USE AND LICENSE AGREEMENT FOR PROPRIETARY DATA LISTS

1. ACCEPTANCE OF TERMS

By checking this box, you ("Licensee") acknowledge that you have read, understood, and agree to be bound by the following terms and conditions governing the use of the proprietary data lists ("Data") purchased from this website.

2. LICENSE GRANT

Subject to the terms of this Agreement and payment of applicable fees, Licensee is granted a limited, non-exclusive, non-transferable license to use the Data for Licensee's internal business purposes only.

3. RESTRICTIONS ON USE

Licensee agrees NOT to:

a) Resell, redistribute, lease, sublicense, or transfer the Data to any third party; b) Create derivative works based on the Data for the purpose of distribution; c) Use the Data to create a competing product or service; d) Extract, copy, or download a substantial portion of the Data for the purpose of creating another database; e) Reverse engineer, decompile, or disassemble the Data; f) Remove, obscure, or alter any proprietary notices contained within the Data; g) Use the Data for any unlawful purpose or in violation of any applicable laws or regulations; h) Use the Data to train, develop, or improve machine learning models, artificial intelligence systems, or any automated processing systems.

4. INTELLECTUAL PROPERTY

All right, title, and interest in and to the Data, including all intellectual property rights, remain the exclusive property of the Seller. Nothing in this Agreement shall be construed as transferring any aspects of such rights to Licensee or any third party.

5. CONFIDENTIALITY

Licensee agrees to maintain the confidentiality of the Data and to use reasonable security measures to prevent unauthorized access to or disclosure of the Data.

6. WARRANTY DISCLAIMER

THE DATA IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. LIMITATION OF LIABILITY

IN NO EVENT SHALL SELLER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE DATA.

8. INDEMNIFICATION

Licensee agrees to indemnify, defend, and hold harmless Seller from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to Licensee's violation of these Terms.

9. TERMINATION

This Agreement is effective until terminated. Seller may terminate this Agreement immediately if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of the Data and destroy all copies in its possession.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Bioxlist.com operates under these Terms.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements.
